Summary

On August 27, 2026, the SEC filed 38 complaints in the U.S. District Court for the District of Colorado, alleging violations of Advisers Act Sections 204(a) and 207 through materially false or unsubstantiated Forms ADV filed in 2025 and 2026 to feign legitimacy with U.S. retail investors. Allegations include nonexistent Colorado offices, disconnected or unrelated phone numbers, nearly identical ownership and numerical disclosures across purported exempt reporting advisers, and claimed fund audits by two accounting firms absent from public registries. Some defendants allegedly used foreign-traced IP addresses, failed to substantiate filings, or appeared on websites displaying fake SEC registration certificates.

The SEC removed all 38 ERA filings, warned that scammers exploit these filings and that ERAs offering individuals advice or claiming SEC registration warrant caution, and seeks permanent and conduct-based injunctions barring future ERA Forms ADV filings plus civil penalties. The FBI assisted through Operation Level Up.
