Summary

The SEC’s Division of Examinations announced its fiscal 2027 examination priorities on Oct. 23, 2026, in press release 2026-109. The risk-based program covers more than 34,000 registrants, including investment advisers, investment companies, broker-dealers, self-regulatory organizations, clearing agencies, municipal advisors, transfer agents, funding portals and security-based swap entities. Chairman Paul S. Atkins said examinations provide insight into emerging risks, business practices and market developments while supporting compliance, market resilience and investor confidence.

Heightened scrutiny will cover advisers’ fiduciary duties, conflicts, recommendations and compliance programs; retail exposure to complex, higher-risk and illiquid products; private funds, private credit and complex strategies; and broker-dealer financial responsibility, trading, supervision and anti-money laundering controls. Examiners will also prioritize operational resilience, cybersecurity, customer information, super intelligence and other advanced technologies, Treasury clearing reforms, tokenization, evolving market infrastructure, self-regulatory organizations and other critical participants. Director Keith Cassidy said resources will follow changing risks and threats. The priorities are not exhaustive and may change with market events, investor concerns, technology, products or services. The Division also plans clearer engagement with registrants and greater coordination with SEC policymaking offices and fellow regulators.

Positives

  • More than 34,000 registrants will face a risk-based program designed to direct examination resources toward the most consequential vulnerabilities.
  • Retail protection will emphasize complex, higher-risk and illiquid products that can expose individual investors to elevated losses or limited liquidity.
  • Cybersecurity, operational resilience and customer information protection are explicit priorities for fiscal 2027 examinations.
  • Treasury clearing reforms, tokenization and advanced technologies will receive scrutiny as market infrastructure evolves.
  • Closer coordination with SEC policymaking offices and fellow regulators is intended to improve consistency in applying federal securities laws.

Risks & concerns

  • Investment advisers face heightened examination risk involving fiduciary duties, conflicts of interest, recommendations and compliance programs.
  • Private funds, private credit and other complex strategies are identified as areas presenting heightened investor or market-integrity risks.
  • Broker-dealers face scrutiny of financial responsibility, trading practices, supervision and anti-money laundering compliance.
  • Super intelligence and other advanced technologies may create new risks involving market operations, compliance, fraud prevention and investor protection.
  • The nonexhaustive priorities may change during fiscal 2027, leaving registrants exposed to additional examination areas as risks develop.
