SEC Innovation Exemption Opens Path for Tokenized NMS Stock Trading

TSVs may bring together buyers and sellers of tokenized National Market System stock through permissioned automated market makers and liquidity pools, while setting participant access standards. The order also conditionally exempts certain liquidity providers from the Section 3(a)(5) dealer definition when they supply proprietary tokenized NMS stock and conduct activities such as customer quoting or committed capital agreements.
Trading is capped by symbol count and volume. TSVs must verify that tokens carry the same rights and privileges as equivalent traditional shares, notify underlying issuers and allow objections before listing stock tokenized by an unaffiliated third party, use auditable public smart contracts on public permissionless ledgers, match primary exchange trading halts, and disclose operations plus venue trading by TSVs and affiliates. The exemptions expire five years after publication. The order will appear on SEC.gov and in the Federal Register and requests comments on modifications and next steps. Chairman Paul S. Atkins called the measure an initial step toward onchain markets, while Trading and Markets Director Jamie Selway said the division would assist prospective TSV operators and answer investor and market participant questions.
