SEC Charges 38 Entities Over False Form ADV Filings Targeting Retail Investors
SEC charges 38 entities over false 2025-2026 Form ADV filings, removes their ERA records, and seeks injunctions and penalties in Colorado federal court.
Summary
On Aug. 27, 2026, the SEC charged 38 entities in U.S. District Court for the District of Colorado, alleging material misrepresentations in Forms ADV filed in 2025 and 2026 to pose as legitimate U.S. advisers and lure retail investors. Some accessed the filing system from overseas-traced IP addresses, and defendants failed to provide requested substantiating records.
The filings cited nonexistent Colorado offices; disconnected or unrelated phone numbers; ownership structures and numerical data identical or nearly identical to numerous other purported exempt reporting advisers; and private-fund audits supposedly performed by two accounting firms absent from federal and state public registries. Websites marketed certain defendants with counterfeit certificates claiming SEC registration. The SEC alleges violations of Investment Advisers Act Sections 204(a) and 207 and seeks permanent and conduct-based injunctions, including bans on filing Forms ADV as ERAs, plus civil penalties. It removed all 38 ERA filings, issued an investor alert, and credited the FBI’s Operation Level Up. Laura D’Allaird, SEC cyber-unit chief, called it large-scale abuse.
